Terms of Use (the "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NAATBatt International (https://naatbatt.org) and the manager and operator of the National Renewable Energy Laboratory ("NREL," "we," "us," or "our") under Contract No. DE-AC36-08GO28308 with the U.S. Department of Energy ("DOE"), and govern your access to and use of the Online NAATBatt Lithium-Ion Battery Supply Chain Database (the "Database"), which is provided for free with public access at https://www.nrel.gov/transportation/li-ion-battery-supply-chain-database (the "Website"). By accessing or using the Database, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not access or use the Database.
1. Description of the Database
The Database is an online directory of companies with facilities in North America representing the lithium-ion battery supply chain. The Database is made publicly available for informational, educational, and other non-commercial purposes. NREL developed the Database with funding solely from NAATBatt International ("NAATBatt").
2. User Registration
In order to access and use the Database, you are required to provide certain information and/or answer certain questions. Each registration is a single user, whether and individual or organization, only. When providing this information and/or answering questions, you consent to receive electronic communications from NREL or NAATBatt via email or posted notices to the Database. NREL or NAATBatt may also send you promotional communications via email, including, but not limited to, newsletters, special offers, surveys and other news and information we think will be of interest to you. You may opt out of receiving these promotional emails at any time by following the unsubscribe instructions provided therein.
Acceptance of Terms
By accessing, browsing, or using the Database, you acknowledge and agree to these Terms. If you are using the Database on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.
3. License and Permitted Use
3.1 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Database solely for your personal, non-commercial purposes.
3.2 Restrictions
Unless explicitly permitted by these Terms or with our prior written consent, you agree not to:
- Copy, reproduce, modify, publish, translate, adapt, distribute, or create derivative works based on the Database or its content without appropriate attribution to the Database, NREL, and NAATBaat;
- Use the Database for any illegal, unlawful, or unauthorized purpose, including using the Database to stalk, threaten, or otherwise violate the rights of others, including without limitation others’ privacy rights or rights of publicity;
- Remove, delete, alter, or obscure any attribution, trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the Database, including any copy thereof;
- Use data scraping tools, bots, or automated systems to access, extract, or download data from the Database; or
- Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Database, or any features or functionality of the Database, to any third party for compensation or for commercial purposes.
3.3 Reservation of Rights
All rights not expressly granted under these Terms are reserved by us.
4. Intellectual Property
All content, data, and materials made available through the Database, including but not limited to text, graphics, logos, data compilations, and software (collectively, the "Content"), are the owned by NREL, the DOE, and/or NAATBatt International and are protected by copyright, trademark, and other intellectual property laws. Your use of the Database does not transfer any ownership rights to you.
You agree to retain all proprietary notices, including copyright and trademark notices, on all copies of materials you access, download, or use.
5. Disclaimer of Warranties
The Database and all Content are intended for research or educational purposes only and provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement.
We make no guarantees that the Database will be uninterrupted, error-free, or secure, or that the data presented is accurate or up-to-date. You assume all risks arising from your use of the Database.
6. Limitation of Liability
To the fullest extent permitted by applicable law, we shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of, or inability to use, the Database or its Content, even if advised of the possibility of such damages.
7. Attribution
When using the Database or any data derived from it, you are required to credit us as the source by including [NAATBatt/NREL Lithium-Ion Battery Supply Chain Database https://www.nrel.gov/transportation/li-ion-battery-supply-chain-database] as citation.
8. Termination
We reserve the sole and absolute right to modify, suspend, or terminate access to the Database, or any part thereof, at any time and for any reason, including but not limited to operational, technical, legal, or business considerations, with or without prior notice to you or other users. We shall not be liable to you or any third party for any modification, suspension, or termination of access to the Database or the deletion of any content within it.
By using the Database, you acknowledge and agree that we are under no obligation to continue providing access to the Database or ensuring its availability at any time.
9. Modifications to these Terms
We may update these Terms from time to time at our sole discretion. Any changes will become effective upon posting to the Website. Your continued access or use of the Database following such changes constitutes your acceptance of the modified Terms.
10. Governing Law and Jurisdiction
These Terms are governed by the state laws of Colorado, without regard to its conflict of law principles. Any legal action arising out of these Terms or your use of the Database shall be brought exclusively in the courts located in Denver, Colorado.
